Welcome to Aluma Pay. These Terms of Service ("Terms") govern your access to and use of our website, applications, and services (collectively, the "Service"). Please read them carefully.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. About Us

Aluma Pay Ltd ("Aluma Pay", "we", "us", or "our") is a company registered in Delaware and provides an AI-powered invoicing assistant that helps users automate the processing of receipts and invoices.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement. By using the Service, you represent that you meet these requirements.

3. Your Account

To use certain features, you may need to register for an account. You are responsible for:

  • Keeping your login credentials secure
  • All activity occurring under your account

You agree to notify us immediately of any unauthorized use.

4. Free Trial and Subscription Terms

4.1 Free Trial

New users are eligible for a 7-day free trial. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel prior to the end of the trial period.

4.2 Subscription Fees

The standard subscription price is $199.99 per month, billed automatically until cancelled.

4.3 Billing, Renewal & Cancellation

All subscription plans renew automatically at the end of each billing cycle (monthly) unless you cancel your subscription.

Express Affirmative Consent to Auto-Renewal. Before any paid charges begin (including conversion from free trial to paid), you must provide express affirmative consent specifically to the auto-renewal terms. This consent is obtained separately from your general agreement to these Terms (e.g., via an unchecked checkbox or equivalent affirmative action clearly labeled for auto-renewal, in close proximity to clear disclosures of the renewal terms, price, frequency, and cancellation method). We obtain your express informed consent in compliance with the Federal Trade Commission's Negative Option Rule (as applicable) and California's Automatic Renewal Law (Bus. & Prof. Code § 17600 et seq., as amended effective July 1, 2025). We maintain records of such consent for at least three (3) years or one (1) year following termination of your subscription, whichever is longer.

By providing this consent and subscribing, you authorize Aluma Pay to charge your payment method on a recurring monthly basis for the applicable subscription fee until you cancel.

Clear Disclosures and Compliance. We provide clear and conspicuous disclosures of material auto-renewal terms (including price, billing frequency, and how to cancel) before obtaining your billing information and consent, in accordance with applicable law including the FTC Negative Option Rule and California Automatic Renewal Law.

Cancellation. Cancellations take effect at the end of the current billing period. We do not issue refunds or credits for partial months, unused time, or unused features of the Service (except where required by law).

You may cancel at any time through a simple, easily accessible online mechanism in your Account Settings (e.g., a prominent "Cancel Subscription" button or link), designed to be no more burdensome than the sign-up process. This complies with "click-to-cancel" principles under the FTC Negative Option Rule and same-medium/easy cancellation requirements under California law. If you enrolled via another medium, we provide cancellation in the same or equivalent medium.

Notices and Reminders. For compliance with California law (where applicable), we will send:

  • Annual reminders disclosing your subscription details, charges, frequency, and cancellation instructions.
  • Advance notice of any material changes to renewal terms (e.g., price increases) at least 7–30 days before the change takes effect.
  • For subscriptions of one year or longer (if applicable in future), pre-renewal notices 15–45 days before renewal.

These notices will be sent via email or the same medium used for consent/interaction.

If we fail to obtain your express affirmative consent to auto-renewal, or if renewal terms were not clearly and conspicuously disclosed, you may be entitled to remedies under federal (FTC Negative Option Rule) or state law.

5. Acceptable Use

You agree not to:

  • Violate any applicable laws or regulations
  • Attempt to access systems or data without authorization
  • Interfere with or disrupt the Service
  • Upload or transmit viruses, malware, or harmful code

6. Third-Party Services

The Service may integrate with third-party tools such as Google APIs. By connecting such accounts, you authorize Aluma Pay to access and process associated data as described in our Privacy Policy.

Our use and transfer of data received from Google APIs complies with the Google API Services User Data Policy, including Limited Use requirements.

7. User Data and Content

7.1 License to Process

To provide the Service, you grant Aluma Pay a limited, non-exclusive, worldwide license to:

  • Access
  • Store
  • Process

your uploaded content (including receipts and invoices) solely for the purpose of operating and improving the Service.

7.2 No Training on Customer Data

Unless explicitly permitted in writing, we do not use customer data to train generalized AI models. Processing is limited to delivering the Service.

7.3 Data Retention & Deletion

You may request deletion of your data at any time. We will delete or anonymize data consistent with our retention policies and regulatory requirements.

8. Intellectual Property

All trademarks, software, algorithms, and content provided through the Service are the property of Aluma Pay or its licensors. You may not reproduce, distribute, or create derivative works without our written consent.

9. Disclaimers

The Service is provided "as is" and "as available".

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or reliability of AI-generated output

We do not guarantee uninterrupted or error-free operation.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Aluma Pay is not liable for indirect, incidental, special, consequential, or punitive damages.
  • Our total liability for any claim arising out of these Terms or use of the Service is limited to the amount you paid us in the 12 months prior to the claim (or $100 if you are on a free plan).

11. Termination

We may suspend or terminate your access immediately if:

  • You violate these Terms
  • Your payment fails
  • Your behavior poses a risk to other users or the Service

Upon termination:

  • Your right to use the Service ends
  • We may retain certain data where legally required
  • You may request data export for a limited time

You may stop using the Service at any time.

12. Changes to These Terms

We may update these Terms periodically. Material changes will be posted on our website or sent via email. Continued use of the Service constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
